TERMS & CONDITIONS – Odise Effective from: 21st March 2026

  1. GENERAL INFORMATION

1.1 Company Identification Odise is a brand operating through digital platforms and authorised distribution channels.

1.3 Acceptance of Terms By accessing our website, making a purchase or using our services, you agree to be legally bound by these Terms & Conditions in their entirety. If you do not agree with any part of these terms, you must refrain from using our services.

  1. DEFINITIONS For the purposes of these terms: "Odise", "we", "us", "our" refers to the company and its authorised representatives. "Customer", "you", "user" refers to any person who accesses or uses our services. "Products" refers to all items offered by Odise. "Services" refers to all commercial activity, customer care and support provided. "Website" refers to all digital platforms through which we operate.

  2. ELIGIBILITY & REGISTRATION

3.1 Minimum Age Our services are intended exclusively for persons aged 18 or over. By using our services, you declare and warrant that you are of legal age under the laws of your jurisdiction, that you have the legal capacity to enter into binding contracts, and that all information provided is truthful and accurate.

3.2 Geographical Restrictions Our products may not be available in all jurisdictions due to local regulations. It is the customer's responsibility to verify the legality of importation in their country.

3.3 Account Information The customer is responsible for maintaining the confidentiality of their account information, providing accurate and up-to-date details, and notifying us immediately of any unauthorised use.

  1. PRODUCTS & PRICING

4.1 Product Availability Products are subject to availability. We reserve the right to discontinue products without prior notice. Images are for illustrative purposes and may differ from the actual product.

4.2 Pricing All prices are displayed in the currency specified for each region. Prices may change without prior notice. Prices do not include taxes, duties or import charges. Offers and discounts are valid for a limited period.

4.3 Pricing Errors We reserve the right to correct pricing errors. In the event of an obvious error, we will contact the customer before processing the order. The customer may cancel the order without penalty if they do not accept the corrected price.

  1. ORDERS & PAYMENTS

5.1 Order Process Orders are subject to availability and confirmation. We reserve the right to refuse orders for any reason. Order confirmation does not guarantee product availability.

5.2 Payment Methods We accept the following payment methods: Credit and debit cards (Visa, MasterCard), PayPal, bank transfers where applicable, and other methods specified at checkout.

5.3 Payment Processing Payments are processed at the time of placing the order. Charges will appear as "ODISE" on your statement. In the event of a declined payment, the order will be automatically cancelled.

  1. SHIPPING & DELIVERY

6.1 Shipping Policy Specific shipping terms are governed by our Shipping Policy, which forms an integral part of these terms.

6.2 Responsibilities Odise is responsible until handover to the logistics operator. The customer is responsible for providing a correct and complete delivery address. Delays due to external factors are not the responsibility of Odise.

6.3 Product Inspection The customer must inspect products upon delivery. Any visible damage must be reported within 48 hours. Acceptance of the parcel constitutes agreement with the condition of the product.

  1. REFUNDS & RETURNS

7.1 Refund Policy Specific refund terms are governed by our Refund Policy, which forms an integral part of these terms.

7.2 General Conditions Only unopened products are eligible for a refund. The customer bears return shipping costs except in cases of manufacturing defects. Refunds are processed via the original payment method.

  1. APPROPRIATE USE OF PRODUCTS

8.1 General Use Our products are intended for personal use. Please follow all care instructions provided with each product. Odise accepts no responsibility for damage resulting from improper use.

8.2 User Responsibility The customer is fully responsible for using products in accordance with the provided instructions, ensuring products are suitable for their intended purpose, and contacting us if any issue arises upon receipt.

  1. INTELLECTUAL PROPERTY

9.1 Copyright All content on our platforms, including but not limited to texts, images, logos and designs, product names and trademarks, and software and source code, is protected by intellectual property rights and belongs to Odise.

9.2 Permitted Use Personal and non-commercial use of content only. Reproduction, distribution or modification without written authorisation is prohibited. Use of our trademarks without express permission is not permitted.

9.3 Infringements Violations of intellectual property rights may result in immediate suspension of services, corresponding legal action, and a claim for damages.

  1. PRIVACY & DATA PROTECTION

10.1 Data Collection We collect information necessary to process orders and payments, provide customer service, and comply with legal obligations.

10.2 Use of Information We do not sell or share personal data with third parties without consent. We may use information to improve our services. Data is kept secure through appropriate technical measures.

10.3 Cookies & Tracking Technologies We use cookies to improve the user experience. Users may configure their browser to reject cookies. Some functionality may be limited without cookies.

  1. LIMITATION OF LIABILITY

11.1 General Exclusions To the fullest extent permitted by law, Odise shall not be liable for indirect, incidental or consequential damages, loss of profits, data or business opportunities, or damages resulting from the use or inability to use our products.

11.2 Liability Limits Our maximum liability shall not exceed the price paid for the specific product. This limitation applies regardless of the legal theory used. Some jurisdictions may not permit these limitations.

11.3 Third-Party Products We are not responsible for third-party products or services. Third-party warranties are the sole responsibility of those third parties. Transactions with third parties are at the customer's own risk.

  1. INDEMNIFICATION

12.1 Obligation to Indemnify The customer agrees to indemnify and hold Odise harmless from any claim arising from the use of our products, breach of these terms and conditions, infringement of third-party rights, or fraudulent or unlawful activity.

12.2 Legal Defence Odise reserves the right to assume exclusive control of any matter subject to indemnification, and the customer may not settle any claim without our prior written consent.

  1. TERMINATION

13.1 Termination by the Customer The customer may terminate their relationship with us at any time. Pending orders will continue under the original terms. Financial obligations remain in force.

13.2 Termination by Odise We may immediately terminate or suspend service if the customer breaches these terms, if fraudulent activity is suspected, or if required by law or regulatory authorities.

13.3 Effects of Termination Existing warranties and obligations remain in force. The customer must cease use of our services. Limitations of liability survive termination.

  1. DISPUTE RESOLUTION

14.1 Direct Negotiation All disputes should first be resolved through direct communication. Contact support.odise@gmail.com to initiate the process. We will provide a response within 5 working days.

14.2 Arbitration Unresolved disputes will be submitted to binding arbitration. Arbitration will be governed by international commercial arbitration rules. The seat of arbitration will be determined based on the nature of the dispute.

14.3 Waiver of Class Actions The customer waives the right to participate in class action proceedings. All disputes will be resolved on an individual basis. This waiver is severable from the remainder of these terms.

  1. FORCE MAJEURE

15.1 Force Majeure Events We shall not be liable for delays or failures caused by natural disasters, pandemics or wars, governmental actions or regulatory changes, failures in essential third-party services, or any event beyond our reasonable control.

15.2 Notification & Mitigation We will notify of force majeure events as soon as reasonably possible. We will take reasonable steps to mitigate the effects. Contractual deadlines will be extended for the duration of the event.

  1. AMENDMENTS

16.1 Right to Amend We reserve the right to amend these terms at any time. Changes will be published on our website. Continued use constitutes acceptance of the updated terms.

16.2 Notification Significant changes will be notified by email where possible. It is the customer's responsibility to review the terms periodically. Changes do not affect orders already processed.

  1. GOVERNING LAW & JURISDICTION

17.1 Governing Law These terms are governed by and interpreted in accordance with the laws of England and Wales.

17.2 Jurisdiction For international disputes, principles of international commercial arbitration will apply. Competent courts will be determined based on the specific nature of each dispute. The parties submit to the jurisdiction of such courts.

  1. GENERAL PROVISIONS

18.1 Entire Agreement These terms, together with our Privacy, Shipping and Refund policies, constitute the entire agreement between the parties.

18.2 Severability If any provision is deemed invalid, the remainder of the terms will remain in full force and effect.

18.3 Waiver Failure to enforce any provision does not constitute a waiver of future rights.

18.4 Assignment The customer may not assign their rights or obligations without our consent. Odise may assign these terms to affiliates or successors.

18.5 Languages These terms are available in multiple languages. In the event of discrepancy, the English version shall prevail.
